Engine swap on a Yamaha C3/Giggle/VOX. Is this one possible?

I have a Yamaha C3 and am wondering if moving from this engine (http://www.minarelli.com/pdfeng/nyp125.pdf) to this engine (http://www.minarelli.com/pdfeng/nyp125.pdf). What would be some complications? O_o
